Units, each unit comprised of one (1) Class B Non-Voting Common share and one (1) 5% fixed rate cumulative , redeemable, retractable, renewable bond. Price of security offered is $100.00 per unit; the corporation has allocated a value of $0.10 per Class B Share and $99.90 per bond.

Minimum Subscription: $20,000 CDN

It is a condition of this offering that each subscriber complete all necessary paperwork including Subscription Agreement and Risk Acknowledgment Form, and return all forms to the company.

Use of Proceeds:

All dollars raised via offering will be utilized in the development of the Falls Resort complex as outlined in the Road to 2010 package available to all investors at time of investment
